7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE LAWS OF THE UNITED STATES AND THE FEDERAL TRADE COMMISSION ACT (15 U.S.C. § 41 ET SEQ.), IN NO EVENT SHALL ROUND TABLE PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR OUR SERVICES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, goodwill, or business opportunities;
- Physical injury, illness, or allergic reactions resulting from consumption of our food products;
- Unauthorized access to or alteration of your transmissions or data;
- Errors, inaccuracies, or omissions in content on the Site;
- Service interruptions, delays, or failures beyond our reasonable control;
- Conduct of third-party delivery partners or service providers.
IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
8. Indemnification
You agree to defend, indemnify, and hold harmless Round Table Pizza and its affiliates, subsidiaries, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and legal fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms of Service;
- Your use or misuse of the Site or our services;
- Your violation of any applicable federal, state, or local law or regulation;
- Your infringement of any intellectual property or other rights of any person or entity;
- Any content or information you submit, post, or transmit through the Site;
- Any fraudulent, negligent, or intentional misconduct on your part;
- Any dispute between you and a third-party delivery service or payment processor.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim. You agree not to settle any such matter without our prior written consent.
9. Governing Law and Jurisdiction
These Terms of Service shall be governed by, construed, and enforced in accordance with the laws of the United States of America and the applicable laws of the state in which the Company is registered and operates, without regard to any conflict of law principles that would require or permit the application of the laws of any other jurisdiction.
For disputes not resolved through the dispute resolution process outlined in Section 10, you hereby consent to the exclusive personal jurisdiction and venue of the federal and state courts located within the United States, and you waive any objection to the laying of venue of any such proceeding in such courts.
These Terms are subject to compliance with applicable federal consumer protection laws, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) and the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 et seq. 10. Dispute Resolution
10.1 Informal Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or our services ("Dispute"), you agree to first attempt to resolve the Dispute informally by contacting us at [email protected]. We will make good-faith efforts to resolve the Dispute within thirty (30) calendar days of receipt of your written notice. If the Dispute is not resolved within that period, either party may proceed to binding arbitration as described below.
10.2 Binding Arbitration
EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT. You and Round Table Pizza each waive the right to a jury trial and to participate in any class action, class arbitration, or representative proceeding. The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in English, and any award rendered shall be final and binding on the parties.
10.3 Class Action Waiver
YOU AND ROUND TABLE PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. If this provision is found to be unenforceable, then the entirety of the arbitration agreement in Section 10.2 shall be null and void.
10.4 Small Claims Court
Notwithstanding the foregoing, either party may bring an individual action in small claims court, provided that the claim is within the jurisdictional limits of such court and is not brought as a class, representative, or consolidated action.
11. Term and Termination
11.1 Duration
These Terms shall remain in full force and effect for as long as you access or use the Site or our services. Certain provisions of these Terms, including those relating to intellectual property, indemnification, limitation of liability, disclaimers, and dispute resolution, shall survive any termination of these Terms.
11.2 Termination by Us

20. Force Majeure
Round Table Pizza shall not be liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, supply chain disruptions, labor strikes, utility outages, cyberattacks, or other events of force majeure. In such circumstances, we will make commercially reasonable efforts to resume performance as soon as practicable.
